Job Description
- Provide in-house corporate secretarial support, ensuring all statutory requirements are met in accordance with the Companies Act 2016 and local regulations for overseas entities.
- Manage comprehensive secretarial functions for a group of companies, both locally and internationally.
- Draft, review, and maintain a range of corporate documents, statutory forms, and legal agreements.
- Ensure accurate maintenance of statutory records and timely submission of necessary returns to regulatory authorities.
- Oversee the implementation of the company’s corporate governance framework, ensuring full compliance with legal and regulatory standards.
- Drive the adoption of corporate governance best practices within the organization.
- Advise the Board of Directors and Senior Management on governance policies, compliance matters, and regulatory updates.
- Work closely with external company secretaries, legal counsel, and corporate service providers for matters related to international legal entities.
- Liaise with external auditors during audits, providing necessary corporate documentation and support.
- Ensure all agreements and contracts comply with applicable laws, including international trade regulations and specific local requirements.
- Negotiate, draft, and review a variety of legal agreements, including trade contracts and service-level agreements.
- Collaborate with both internal stakeholders and external partners to ensure smooth contract execution.
- Monitor contract performance, address disputes, and manage risk-related issues as they arise.
- Engage with financial institutions, negotiating terms and conditions related to banking facilities and corporate financing.
- Ensure compliance with the Direct Selling Act and relevant regulations in Malaysia, as well as in other countries where the company operates.
- Support other departments with special assignments and corporate initiatives as needed.

Job Requirements
- Bachelor's Degree or Professional Qualification in Business Administration/ Management/ Secretarial or equivalent
- At least 3-5 years of related working experience in a corporate secretarial role
